1. Acceptance of terms
These Terms & Conditions (“Terms”) govern your access to and use of Studio For Makers (the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
2. Changes to these terms
We may modify these Terms from time to time. If changes are material, we will provide reasonable notice (for example, by posting a notice in the Service and/or by email). Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
3. The service
Studio For Makers provides tools for inventory tracking, purchase logging, landed-cost tracking, recipe and blend building, cost of goods (COGS) estimation, pricing/margin estimates, and reporting. The Service is a decision-support tool and does not replace professional accounting, tax, legal, or regulatory guidance.
4. Accounts, organizations, and roles
The Service may support individual accounts and organization/team workspaces with role-based access (for example: Owner/Admin/Editor/Viewer).
- Account security: You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- Organization admins: If you are an Owner/Admin, you are responsible for managing users, roles, and access permissions within your organization.
- Authorized access only: You may not attempt to access data not associated with your account or your organization.
5. Your data: ownership, confidentiality, and limited license
5.1 Ownership
You retain ownership of the business data you input into the Service, including inventory items, costs, invoices, vendor details, recipes, blends, finished products, and notes (“Customer Data”).
5.2 Limited license to operate the Service
You grant Studio For Makers a limited, non-exclusive license to host, store, process, and display Customer Data solely to provide and improve the Service, support users, and maintain security and reliability. We do not use Customer Data for advertising and we do not sell Customer Data.
5.3 Confidentiality / no sharing (with limited exceptions)
We treat Customer Data as confidential. We do not share Customer Data with third parties except:
- Service providers/processors (such as infrastructure, database hosting, authentication, logging, and payment processors) strictly to operate the Service;
- Legal/safety reasons (to comply with law, protect rights, prevent fraud/abuse, or address security issues);
- Business transfer (merger/acquisition), where permitted and with notice where required.
5.4 Admin responsibility and role misuse
If you are designated as an Owner or Admin of an organization or team account, you are responsible for defining and enforcing appropriate internal access policies.
- Owners/Admins are responsible for inviting users, assigning roles, and removing access when no longer appropriate.
- Owners/Admins are responsible for actions taken by users they authorize within their organization.
- Studio For Makers is not responsible for misuse of data caused by improper role assignment, credential sharing, or failure to revoke access.
You agree not to attempt to bypass role-based permissions or access controls.
5.5 Data export, printing, and local storage
The Service may allow you to export data, download files, or print reports (including inventory reports, cost breakdowns, batch logs, and production documents).
- Exported or printed files are generated at your request.
- Once exported or printed, these files are stored on your local device or environment, not on Studio For Makers’ servers.
- You are solely responsible for how exported data is stored, shared, secured, or retained outside the Service.
Studio For Makers does not control, monitor, or secure data after it has been exported or printed.
6. Supabase and infrastructure processing / database access controls
The Service may use third-party infrastructure providers to host and process Customer Data (for example, Supabase for database/auth/storage). These providers act as “processors” on our behalf and are permitted to process Customer Data only as needed to provide the infrastructure for the Service.
Access to Customer Data is controlled using authentication, authorization rules, and access policies. We restrict internal access to Customer Data to personnel who need it to operate the Service, provide support, or maintain security and reliability.
7. Pricing, COGS, and inventory accuracy (Recipe Builder & beyond)
The Service’s costing, pricing, and inventory calculations are based on user-entered data and system logic, which may include unit conversions, blend-cost rollups, batch scaling, overhead assumptions, and inventory movement rules.
All COGS, unit costs, margins, and inventory movement outputs are estimates only.
- We do not guarantee the accuracy of recipe-level costing, blend costing, batch scaling outputs, or pricing recommendations.
- We do not guarantee inventory deductions/adjustments will match physical reality without correct inputs and consistent workflows.
- You are solely responsible for reviewing and validating outputs before using them for production, pricing, or financial decisions.
8. Acceptable use
You agree not to:
- Use the Service for unlawful purposes;
- Attempt to gain unauthorized access to the Service or other users’ data;
- Interfere with or disrupt the Service, security, or infrastructure;
- Upload malicious code or abuse the Service in a way that could harm others.
9. Subscriptions, billing, cancellation, and refunds
9.1 Subscriptions and renewals
Certain features of the Service require a paid subscription. Subscription pricing, billing cycles (monthly or annual), and included features will be disclosed at checkout. Subscriptions renew automatically at the end of each billing cycle unless canceled before the renewal date.
By completing checkout through Stripe, you authorize recurring charges in accordance with the selected billing cycle.
9.2 Cancellation
You may cancel your subscription at any time through your account settings or by contacting support at support@studioformakers.com.
Cancellation prevents future renewals. Unless otherwise stated, you will retain access to paid features through the end of your current billing period.
9.3 Refunds
Except where required by law, subscription fees are non-refundable. We do not provide prorated refunds or credits for partial billing periods, unused time, downgrades, or unused features.
Refund requests may be reviewed on a case-by-case basis at our discretion. In certain circumstances, we may issue a courtesy refund if cancellation occurs shortly after initial purchase.
9.4 Failed payments
If a payment fails, we may suspend or limit access to paid features until payment is resolved. A 7-day grace period may apply before account suspension.
If payment remains unresolved for 90 days, your account and all associated data may be permanently deleted. We will attempt to provide notice before deletion occurs.
9.5 EU consumer rights (digital services)
If you are located in the European Union, you acknowledge that by purchasing a subscription and accessing the Service immediately, you expressly request that digital performance begin during the statutory withdrawal period. You understand that your right of withdrawal may be lost once full performance of the digital service has begun.
10. Third-party services
The Service may integrate with third-party services (for example, payment processors or infrastructure providers). Your use of those services may be subject to their terms and policies. We are not responsible for third-party services outside of our control.
11. Account deletion and data export
11.1 Account deletion
You may request deletion of your account at any time through your account settings or by contacting support at support@studioformakers.com. When you delete your account:
- All Customer Data associated with your account will be permanently deleted within 30 days.
- If you have an active paid subscription, it will be canceled and no further charges will be made.
- You will receive a confirmation email once deletion is complete.
- Deleted data may persist in encrypted backups for up to 90 days before being permanently removed.
- We may retain certain information where required by law (e.g., for tax compliance, fraud prevention, or dispute resolution).
11.2 Data export
You may export your Customer Data at any time through your account settings. Exported data will be provided in machine-readable formats (CSV and JSON) and will include:
- Inventory items, packaging, and costs
- Purchase invoices and invoice lines
- Recipes, recipe lines, and batches
- Blends, blend components, and batches
- Finished products
- Company settings
Data export is provided to support data portability rights under GDPR and similar privacy regulations.
12. Termination
We may suspend or terminate access if you violate these Terms, if required by law, or if the Service is discontinued. You may stop using the Service at any time.
12.1 Force Majeure
We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, internet or infrastructure outages, cybersecurity incidents, government actions, or third-party service failures.
13. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that all defects will be corrected.
The Service does not constitute legal, tax, accounting, regulatory, cosmetic formulation, safety, or financial advice. You are solely responsible for compliance with applicable laws, product safety standards, labeling requirements, and regulatory obligations in your jurisdiction.
14. Limitation of liability
To the maximum extent permitted by law, Studio For Makers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business interruption, arising from or related to your use of (or inability to use) the Service.
15. Indemnification
You agree to defend, indemnify, and hold harmless Studio For Makers and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your Customer Data, or your violation of these Terms.
16. Governing law
These Terms are governed by the laws of New York, USA, without regard to conflict-of-law principles.
